Subscriber Agreement
This Agreement governs paid subscriptions to Web5 Digital Markets trading signals. It contains an auto-renewal clause, a no-refund policy for periods already delivered, a strict prohibition on redistributing signals, and a limitation of liability.
Trading involves substantial risk of loss. You can lose more than you pay us. We are not your broker, adviser, or fiduciary.

1. Parties & Acceptance
This Subscriber Agreement (the "Agreement") is between Web5 Digital Markets ("Web5," "we," "us") and the individual who purchases a subscription ("you," "Subscriber").
By completing checkout, clicking a button indicating acceptance, or accessing any paid signal channel, you agree to this Agreement, our Terms of Service, Privacy Policy, and Risk Disclaimer, all of which are incorporated here by reference. Where this Agreement conflicts with the Terms of Service, this Agreement controls for paid subscriptions.
You represent that you are at least 18 years old, have legal capacity to enter this Agreement, and are not barred from receiving the Service under the laws of your jurisdiction.
2. What the Service Is — and Is Not
The Service is: a subscription to automated, software-generated market analysis delivered as informational alerts ("Signals"). A Signal may include a market symbol, a direction, and reference levels such as entry, stop-loss, and take-profit, together with automated sentiment commentary.
The Service is expressly NOT:
- Not investment advice. Signals are general information published to all subscribers in a tier. They are not personalized to your finances, goals, risk tolerance, or portfolio.
- Not a brokerage or money-management service. We never hold, receive, control, or have access to your funds or trading accounts.
- Not managed or discretionary trading. We do not place, modify, or close trades for you. Every order is entered by you, at your discretion, in your own account.
- Not a fiduciary, advisory, or brokerage relationship. No such relationship is created by this Agreement.
- Not a recommendation to buy or sell any security, contract, or instrument.
You alone decide whether to act on a Signal, at what size, and with what risk controls. Every trading decision is yours.
3. Subscription Tiers
Tiers are cumulative — each tier includes the coverage of the tiers below it:

Prices are in U.S. dollars and exclude any taxes, bank charges, or foreign-transaction fees your card issuer may apply. The number of strategies in a tier may change as strategies are added, retired, or replaced; we will not reduce a tier below the coverage level advertised at your time of purchase during your then-current billing period.
4. Billing & Auto-Renewal
Your subscription renews automatically at the end of every billing period (monthly, 3-month, or annual, as selected) and your payment method is charged automatically at the then-current rate for that plan.
It continues until you cancel. You may cancel at any time — see Section 5.
Payments are processed by Stripe, Inc. We do not receive or store your full card number. By subscribing you authorize us and Stripe to charge your payment method on a recurring basis for all amounts due.
Failed payments. If a charge fails, Stripe may retry it. If payment is not completed, your access may be suspended or terminated without notice. You remain responsible for amounts properly owed for periods already delivered.
Price changes. We may change subscription prices. Any change applies only to billing periods beginning after we notify you, and we will give at least 30 days' notice by email to the address on your account. Continuing after the change takes effect is acceptance; if you do not accept, cancel before your next renewal.
Taxes. You are responsible for any sales, use, VAT, GST, or similar taxes arising from your subscription, other than taxes on our net income.
5. Cancellation & Refunds
You may cancel at any time. To cancel, use the billing-management link in any Stripe receipt email, or contact us through the channels in Section 18. We will action cancellation requests promptly.
Effect of cancellation. Cancellation stops all future charges. Your access continues through the end of the billing period you already paid for, and then ends. Cancelling does not retroactively cancel a period already begun.
Because Signals are delivered continuously and immediately, fees for a billing period that has already begun are non-refundable, in whole or in part. We do not refund unused portions of a month, quarter, or year, and we do not refund on the basis of trading losses or of Signal performance.
Exceptions we do honour: duplicate or clearly erroneous charges; a charge taken after a valid cancellation; a billing period in which we failed to deliver the Service at all; and any refund required by applicable law, including statutory cooling-off or consumer-protection rights that cannot be waived in your jurisdiction.
Chargebacks. If you dispute a charge with your card issuer instead of contacting us first, we may suspend your access pending resolution. Please email us first — legitimate billing problems are resolved faster directly.
6. Delivery & Access
Signals are delivered primarily through private Telegram channels corresponding to your tier, and may also be delivered by email. After your first successful payment you will receive an invitation to the channel(s) for your tier.
Access is tied to your active, paid subscription. When your subscription ends, lapses, or is terminated, we will remove you from the private channels.
Delivery depends on third-party networks — Telegram, email providers, market-data feeds, and internet infrastructure — that we do not control. We aim for continuous delivery but do not warrant uninterrupted, error-free, or timely delivery of any particular Signal. Scheduled maintenance, outages, market-data interruptions, and force-majeure events may delay or prevent delivery. A missed, delayed, or undelivered Signal is not a breach of this Agreement and does not entitle you to a refund.
You are responsible for maintaining a working Telegram account and a valid, monitored email address.
7. One Subscriber, One Account
A subscription is personal to you and licenses one natural person. You may not share, lend, sell, or transfer your access, and you may not allow any other person to view, use, or trade from the Signals you receive.
We may detect and act on indicators of account sharing, including simultaneous use from unrelated locations or devices, or the appearance of our Signals in any channel we did not authorize.
8. No Redistribution
Signals are our proprietary output and are licensed to you for your personal, individual trading use only.
You must not, directly or indirectly:
- Forward, repost, screenshot, copy, mirror, or relay any Signal to any person, group, channel, server, feed, or platform;
- Resell, sublicense, syndicate, or otherwise commercialize the Signals or any derivative of them;
- Operate a copy-trading, mirror-trading, signal-provider, or PAMM/MAM service based on the Signals for anyone other than yourself;
- Use the Signals to manage money for third parties, whether or not you charge a fee;
- Scrape, bot, automate the extraction of, or bulk-export the Signals or the channels;
- Reverse-engineer, decompile, or attempt to reconstruct the underlying strategies, source code, indicators, parameters, or logic;
- Remove, obscure, or alter any attribution, watermark, or notice.
Signal feeds may carry per-subscriber watermarking or tracing markers to identify the source of a leak. Breach of this Section is a material breach: we may terminate your subscription immediately and without refund, revoke channel access, and pursue all remedies available at law and in equity, including injunctive relief and damages.
9. Intellectual Property
All strategies, Pine Script and other source code, algorithms, models, indicators, parameters, backtests, documentation, branding, and site content are the exclusive property of Web5 Digital Markets and are protected by copyright, trade-secret, and other laws.
No source code is sold, licensed, or delivered under any tier. A subscription grants you a limited, revocable, non-exclusive, non-transferable licence to receive and personally act on the Signals during your paid period — and nothing more. All rights not expressly granted are reserved.
Trades you place in your own account, and any profits or losses from them, are entirely yours.
10. Risk Disclosure
Trading foreign exchange, CFDs, futures, indices, commodities, and digital assets carries a high level of risk and is not suitable for every investor. You acknowledge and accept that:
- You may lose some or all of your capital, and with leveraged products you may lose more than your initial deposit;
- Leverage magnifies losses as much as gains;
- Markets can gap, halt, or move against you faster than a stop-loss can execute — stop-losses do not guarantee an exit price;
- Slippage, spreads, swaps, commissions, latency, and broker execution differ from any modelled or illustrated result;
- You should never trade with money you cannot afford to lose;
- You should consult a licensed financial adviser, and consider your own circumstances, before acting on any Signal.
You assume full responsibility for every trade you place and for all resulting outcomes.
11. No Performance Guarantee
We make no guarantee, representation, or warranty of profit, income, return, win rate, or performance of any kind. No statement by us or by anyone on our behalf should be read as a promise of results.
Past performance is not indicative of future results. Hypothetical, simulated, and backtested results have inherent limitations: they are prepared with the benefit of hindsight, do not involve financial risk, and cannot fully account for liquidity, slippage, or the psychological pressures of live trading. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.
Any testimonial or example reflects one individual's experience and is not typical or guaranteed.
12. Limitation of Liability
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
To the maximum extent permitted by law, Web5 Digital Markets and its owners, operators, contractors, and suppliers shall not be liable for:
- Any trading loss or lost profit, whether or not connected to a Signal;
- Any indirect, incidental, special, consequential, exemplary, or punitive damages;
- Errors, inaccuracies, delays, omissions, duplicates, or interruptions in any Signal or in delivery;
- Acts, outages, or failures of third parties, including Telegram, Stripe, brokers, exchanges, and market-data providers;
- Unauthorized access to your accounts, or your failure to secure them.
Our total aggregate liability arising out of or relating to this Agreement or the Service, on any theory of liability, shall not exceed the total subscription fees you actually paid us in the three (3) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions our liability is limited to the greatest extent permitted by law. Nothing in this Agreement excludes liability for fraud or for any liability that cannot lawfully be excluded.
13. Indemnification
You agree to indemnify, defend, and hold harmless Web5 Digital Markets and its owners, operators, and contractors from any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising from your use of the Service, your trading activity, your breach of this Agreement — in particular Sections 7 and 8 — or your violation of any law or third-party right.
14. Suspension & Termination
By you: cancel at any time under Section 5.
By us: we may suspend or terminate your subscription and revoke access immediately, without refund, if you breach this Agreement — including any redistribution or account sharing — if payment fails, if we reasonably suspect fraud or abuse, or if you engage in abusive, threatening, or unlawful conduct toward us, our staff, or other subscribers.
We may also discontinue the Service, or any tier, on 30 days' notice; in that case we will refund the unused, pro-rated remainder of any prepaid period.
Sections 8, 9, 10, 11, 12, 13, 16, and 17 survive termination.
15. Changes to Service or Terms
We may modify this Agreement. Material changes take effect at your next renewal, and we will notify you by email or by an in-channel notice at least 30 days beforehand. Continuing your subscription after a change takes effect constitutes acceptance; if you do not accept, cancel before your next renewal.
We may also improve, modify, add, or retire individual strategies and features, provided we do not reduce your tier below the coverage advertised at purchase during your current billing period.
16. Governing Law & Disputes
This Agreement is governed by the laws of the State of the United States in which Web5 Digital Markets is established, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts of that State, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or enforce Section 8.
Informal resolution first. Before commencing any proceeding, you agree to contact us and attempt in good faith to resolve the dispute for at least 30 days.
Any claim must be brought in your individual capacity and not as a plaintiff or class member in any class, collective, or representative action.
Any claim arising out of this Agreement must be filed within one (1) year after the claim arose, or it is permanently barred, except where a longer period is required by law.
17. General
- Entire agreement. This Agreement, with the Terms, Privacy Policy, and Disclaimer, is the entire agreement between us on this subject and supersedes all prior discussions, marketing statements, and representations.
- Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary and the remainder stays in force.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign this Agreement. We may assign it in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for failures caused by events beyond its reasonable control.
- Electronic communications. You consent to receive notices, agreements, and disclosures electronically.
- Sanctions & eligibility. You represent that you are not located in, or a national of, any jurisdiction subject to comprehensive sanctions, and that your subscription does not violate any law applicable to you.

We aim to respond to all subscriber enquiries within 2 business days.
By subscribing you confirm that you have read and understood this Agreement — in particular the auto-renewal terms (§4), the refund policy (§5), the redistribution ban (§8), the risk disclosure (§10), and the limitation of liability (§12) — and that you accept full responsibility for your own trading decisions.
